Terms of Use – Fyre Learning

These Terms of Use (“Terms”) govern your use of the Fyre Learning platform, services, and materials. By accessing or using our services, you agree to comply with and be bound by these Terms.
1. Ownership of Materials
All materials provided by Fyre Learning on its website, LMS, or training manager portal — including, but not limited to, text, graphics, video content, course modules, logos, software, assessments, and certificates (the “Materials”) — are the intellectual property of Fyre Learning or its licensors and are protected under UK copyright, trademark, and database laws.
You may:
View and use the Materials for personal or internal business use only;
Not copy, reproduce, modify, distribute, transmit, republish, or publicly display any Materials without express written permission;
Not create derivative works from the Materials unless otherwise agreed in writing.
Any use of the Materials beyond these terms is strictly prohibited and may result in suspension of access and/or legal action.
2. Use of the Fyre Learning Platform
Fyre Learning provides clients with access to a suite of e-learning courses via a branded Learning Management System (LMS), which includes:
Pre-built training courses on compliance, soft skills, and mandatory topics;
User dashboards, learning assessments, progress tracking, reporting, and certificates;
A subscription-based portal allowing client managers to enrol and manage their employees.
Clients may not:
Provide third parties (outside their own organisation) access to the platform or course materials;
Resell or sublicense the platform or content;
Use the platform to store or distribute unlawful or offensive material.
Fyre Learning does not have direct contact with your staff (end users). You, as the client, are solely responsible for managing their access, including accuracy of submitted user data (e.g. first name, surname, email).
3. Software Use Restrictions
The Fyre Learning LMS and its associated software are protected by copyright and database rights.
You may not:
Copy, decompile, reverse-engineer, or otherwise attempt to derive source code from the software;
Modify or create derivative works based on the LMS;
Redistribute, rent, lease, or sublicense the software.
Installation, access, or use of the LMS implies acceptance of the EULA.
The LMS may permit limited white-labelling (e.g. your logo, colours) on the front-end interface. Branding of course content may be available on request and subject to further agreement.
4. Subscription, Billing, and Refund Policy
Fyre Learning operates on an annual subscription model, with payment due in full within 30 days of invoicing.
You will receive access for a defined term as specified in your agreement.
The annual subscription is not eligible for refund unless expressly permitted by a director in writing.
Fyre Learning reserves the right to suspend or terminate access for non-payment. In the event of termination, all user data will be permanently deleted, unless otherwise agreed.
5. Data Protection & Privacy
Fyre Learning adheres to all applicable UK data protection laws, including the UK GDPR.
We act as a data processor on behalf of our clients. The only data we collect and store about client employees (end users) is:
First name
Last name
Email address
This data is used solely to deliver and track training. Clients are responsible for the accuracy of this data and for ensuring lawful basis for providing it to Fyre Learning.
Upon termination of service or upon request, we will delete all personal data unless otherwise agreed with the client in writing.

6. Intellectual Property & Third-Party Content
All course content, assessments, videos, and support materials are owned by Fyre Learning or licensed from third parties.
Unless otherwise agreed:
Content is licensed for internal employee training only;
Content may not be distributed outside the client organisation;
Clients may not modify, duplicate, or republish course materials without permission.
7. Warranties & Disclaimers
While we strive for high-quality content and platform reliability, the Fyre Learning service is provided on an “as is” and “as available” basis.
We do not guarantee that:
The LMS will be uninterrupted or error-free;
Course content will meet all regulatory or legal compliance standards without client review;
Data loss will not occur (though we take reasonable precautions to prevent it).
Use of our content does not constitute legal advice. You should seek professional legal counsel before relying on any content for regulatory compliance.
Fyre Learning disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement, to the fullest extent permitted by law.
8. Limitation of Liability
To the maximum extent permitted by law, Fyre Learning, its employees, agents, and subcontractors shall not be liable for:
Loss of data;
Business interruption;
Loss of profits or contracts;
Indirect, special, or consequential damages.
Our total liability in any matter arising out of or related to these Terms is limited to the amount paid by you under your current subscription.
9. Termination
We reserve the right to suspend or terminate service access if:
You fail to pay invoices when due;
You breach these Terms or applicable law.
Upon termination:
All access to the LMS and course content will be revoked;
User data will be deleted unless agreed otherwise.
You may request a copy of your user data before termination, subject to data portability feasibility.
Cancellation notice must be placed at least 60 days in advance of the renewal date if you wish to cancel your annual subscription.
10. Use of AI-Generated Illustrations
Fyre Learning may use AI-generated images to enhance course content or articles.
These images:
Are fictional and not based on real people or places;
Serve illustrative or decorative purposes only;
Should not be interpreted as factual or relied upon in decision-making.

11. Governing Law & Jurisdiction
These Terms are governed by the laws of England and Wales.
Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the UK courts.

5. Information Security Controls
5.1 Access Control

11. Third-Party & Supply Chain Security
All vendors and partners must demonstrate compliance with GDPR and security best practices

Fyre Learning complies with the UK GDPR and processes personal data lawfully and securely.
Data is processed only for agreed purposes
Retention and deletion policies are in place

Service Level Agreement (SLA)

1. Purpose
This Service Level Agreement sets out the commitments and expectations between Fyre Learning and the Customer regarding the performance, availability, and support of Fyre Learning’s digital learning platform and related services.
2. Scope of Services
Fyre Learning will provide the following core services under this agreement:
Access to the Fyre Learning online platform and user accounts
Hosting and delivery of digital learning content
System performance monitoring and issue resolution
Technical support (email and phone)
System maintenance and updates
User management and permissions
Reporting and analytics tools
Any additional services (e.g., custom development, training, consultancy) must be separately agreed in writing.
3. Service Availability
Fyre Learning guarantees a 99% uptime for its core learning platform, excluding:
Scheduled maintenance (with minimum 48 hours notice)
Emergency maintenance (in case of security vulnerabilities or critical errors)
Downtime caused by factors outside of our control (e.g., internet outages, third-party service failures)
Availability is monitored 24/7/365. Service performance statistics are available upon request.

5. Maintenance & Updates
Scheduled Maintenance:
Conducted outside peak hours
Notice provided at least 48 hours in advance via email or platform notification
Platform Updates:
Minor updates and security patches: Deployed weekly or as needed
Major feature releases: Communicated in advance and deployed during off-peak periods
6. Client Responsibilities
To help us deliver services efficiently, the Customer agrees to:
Report issues via the official support channels
Provide accurate information when raising support tickets
Designate one or more internal points of contact
Ensure internet and hardware infrastructure is suitable for platform use
Maintain user account security
7. Data Protection & Security
Fyre Learning complies with UK GDPR and the Data Protection Act 2018. All data is securely stored within the UK or EEA.
Security features include:
Encrypted data at rest and in transit (TLS 1.2+)
Multi-factor authentication (MFA)
Regular penetration testing
Role-based access controls (RBAC)
Regular data backups and disaster recovery protocols

8. Performance Metrics (KPIs)

Support satisfaction rating: ≥ 95%
Average response time (P1–P3): < 2 hours
Bug resolution rate: ≥ 90% resolved within SLA timelines
Quarterly reports are available to customers on request.
9. Review & Revisions
This SLA will be reviewed annually or upon request by either party. Changes will be mutually agreed and documented in writing.
10. Limitations of Liability
Fyre Learning will not be held liable for:
Failures caused by third-party services or Customer systems
Downtime resulting from force majeure (e.g., natural disasters, cyberattacks)
Misuse or unauthorised changes made by Customer users
Liability, where applicable, will be limited to the total amount paid by the Customer in the 6 months preceding the claim.
11. Term & Termination
This SLA remains in effect from the Effective Date until:
Terminated in accordance with the primary service agreement, or
Replaced by an updated version with agreement from both parties
